IJ Photo Session and Package Agreement

This agreement is between the Client and IJ Photo LLC. The Client accepts it by paying for a booking or by signing it. It covers single sessions and packages of two or more sessions, including the Bump-to-Baby Bundle.

Definitions

Session. A single photography session booked with the Photographer, such as a maternity, newborn, family, cake smash, headshot, or holiday mini session. The session length and the number of edited digital files included are listed in the session description at the time of booking.

Package. Two or more sessions booked together under this Agreement, for example a maternity session with an added newborn session. Unless a term says otherwise, every term of this Agreement applies to each session in a Package.

Bump-to-Baby Bundle. IJ Photo's named Package that includes a maternity session and a newborn session, along with the products and services listed in the Bundle description at the time of booking.

Add-Ons. Optional services selected and paid for at booking, such as professional hair and makeup, extended session time, and digital file upgrades.

Soft Proof. An unedited RAW image shown to the Client during the in-studio ordering appointment for review and selection purposes only. Soft proofs are never delivered, released, or sold; the Client purchases Edited Digital Files and products created from the soft proofs they select.

Edited Digital File or Selected Image. A high-resolution image file created from the soft proofs selected in the studio after your session, edited for color, crop, contrast, and exposure, with skin and hair smoothing and blemish removal, and delivered to the Client via an online gallery. Advanced retouching requests, as described under Retouching, will incur a $25 per-image fee.

Album. A professionally designed and printed book featuring images from the Client's session. Albums are produced using archival materials and are intended for long-term preservation and display.

Wall Art. A high-quality printed product intended for wall display, such as canvas wraps, metal prints, or mounted photographic prints. All wall art is produced by professional print labs and uses materials designed for longevity and visual impact.

Prints. Photographic prints produced by a professional lab on archival-quality paper. Available in various sizes, prints are designed for framing, albums, or display.

Client. The individual or party contracting with the Photographer for photographic services. The Client is responsible for payment, communication, and ensuring that all session participants comply with the terms of this Agreement.

Photographer. Irene Jones, the Owner of IJ Photo LLC, is the professional providing photographic services under this Agreement. This includes any authorized employees, assistants, or subcontractors working under the Photographer's direction.

Booking and Payment

Retainer. To reserve a session or Package, the Client shall pay a retainer equal to fifty percent (50%) of the total session or Package fee, including any Add-Ons, at the time of booking. Upon payment, the Photographer will reserve the requested session date; however, payment alone does not constitute a confirmed booking. The booking is not confirmed until the Client has signed and returned this Agreement. The retainer is remitted in consideration of the experience, reputation, and skill of the Photographer and in consideration of the inability of the Photographer to schedule other clients during this time. The retainer is refundable only as described under Cancellation.

Remaining Balance. The remaining fifty percent (50%) is due seven (7) days before the session date. For a Package, the remaining balance is due seven (7) days before the first session in the Package. The session will not begin until the balance is paid in full. If the balance is still unpaid at the scheduled start time, the session will be treated as a cancellation less than seven (7) days before the session under the Cancellation terms of this Agreement.

Refunds. Payments, including Add-Ons, are refundable only when the Client cancels at least seven (7) days before the session, as described under Cancellation. In all other cases, payments are non-refundable and may instead be applied as a session credit toward a rescheduled or alternative session, subject to the Cancellation terms of this Agreement.

Acceptance of Terms and Signature Deadline. This Agreement is made available to the Client for review before booking. By submitting payment for a session or Package, the Client confirms that they have read and accept all terms of this Agreement, whether or not a signed copy has been returned. Upon payment, the Client will also receive this Agreement via email for signature and must sign and return it within five (5) calendar days of receipt. If the Client does not return a signed Agreement within five (5) calendar days, the Photographer reserves the right to release the reserved date and make it available to other clients. Attending the session also confirms the Client's acceptance of this Agreement. Any refund or session credit after payment, including when the Client does not sign or objects to any terms of this Agreement, follows the Cancellation terms of this Agreement.

Product Orders. Payment for product orders shall be submitted to the Photographer at the time of invoicing, whether via online gallery service or in-person viewing. Products, including Edited Digital Files, shall be delivered once the entire amount is paid in full and according to the specific product's production schedule. All sales are final. Prices listed on the site DO NOT include sales tax.

Image Review. Each session includes the number of edited digital files listed in the session description at the time of booking. Additional images and products may be purchased but are not required. Soft proofs will be made available for the Client to review in the studio upon completion of the session. Please allow 30 to 60 minutes for the selection of your images. An invoice for any additional order will be emailed after the session and selection are completed.

Sessions

Cancellation. If the Client cancels at least seven (7) days before the session date, all payments made to date for that session, including Add-Ons, will be refunded in full, less any payment processing fees charged to the Photographer by a third-party payment processor. Instead of a refund, the Client may choose to apply those payments as a session credit toward a mutually agreed-upon rescheduled date within one (1) calendar year of the original booking date. If the Client fails to appear or cancels less than seven (7) days prior to the session, all payments for that session are forfeited, and no refund or session credit will be issued.

Package Cancellations. For a Package, each session is treated separately: the Client may cancel any unused session at least seven (7) days before its scheduled date and receive a refund, even if other sessions in the Package have already taken place. If a session in a Package that was priced at a discount, such as the Bump-to-Baby Bundle, is canceled after another session in the Package has taken place, the refund equals the Photographer's standard price for the canceled session, minus any promotional discount applied to create the Package rate, less any payment processing fees charged to the Photographer by a third-party payment processor.

Rescheduling and Late Arrivals. If the Client requests to reschedule a session, all payments made, including Add-Ons, will be applied to the rescheduled session if notice is given at least seven (7) days before the session. The rescheduled session must take place within one (1) calendar year of the original booking date. Any Client who is late arriving to the session will have the amount of time late deducted from the time allotted for the session. Clients shall not be compensated for the time deducted from the session due to the late arrival of the Client.

Packages. Each session in a Package, including the Bump-to-Baby Bundle, is scheduled separately, and all sessions in a Package must take place within one (1) calendar year of the original booking date. Refunds for unused sessions follow the Cancellation terms of this Agreement. A session missed without seven (7) days' notice shall not be refunded. The Photographer retains the right of discretion to transfer an unused session credit within a Package to another type of session, product, or service.

Add-Ons. Add-Ons follow the same terms as the session fee. They are refunded or forfeited on the same terms as the session fee under Cancellation and will move with the session to any rescheduled date.

Group Size. Sessions include up to six (6) people, including the Client. Larger groups require the Photographer's written approval before the session.

Subjects. The Client is responsible for the actions of all other participants in the session, including partners, extended family, children, and pets. The Client is responsible for ensuring the cooperation of additional subjects during the time in the studio. Please refrain from intruding on the Photographer's immediate area, using a cell phone to record video or photos, or handling or moving any props, sets, or equipment without prior permission from the Photographer. Access to the storage room and any staff-only areas is strictly prohibited.

Studio Property. Clients are kindly asked to help maintain a safe and respectful environment in the studio. The Client agrees to cover the cost of any damage to studio property, props, or equipment that occurs as a result of their actions, or those of their children, guests, or pets, during the session. Charges will reflect the actual cost of repair or replacement.

Subject Disposition and Session Conditions. The Photographer is not responsible for a session that cannot be completed, or produces fewer images than expected, because of the disposition, mood, health, or cooperation of any subject, including babies, children, and pets, or because of any other circumstance on the Client's side. In these cases the session is considered complete, and the Photographer has no obligation to reschedule, extend the session, or issue a refund or session credit. Any reschedule offered is a courtesy at the Photographer's sole discretion and does not set an obligation for future sessions.

Images, Ordering, and Delivery

Artistic Rights and Photographic Materials. The Photographer retains the right of discretion in selecting the soft proofs shown to the Client. The Client shall select from the soft proofs presented during the ordering appointment and shall not receive any photographic materials not presented to the Client.

Receipt of Purchased Images and Products. All photographic materials, including but not limited to behind-the-scenes video, soft proofs, and RAW files, shall be the exclusive property of the Photographer. Soft proofs and RAW files will not be released under any circumstances. Behind-the-scenes video may be offered to the Client as a bonus at the Photographer's sole discretion, such as with a qualifying purchase, and is not otherwise included with any session. No products, including Edited Digital Files and printed products, will be released until payment is made in full.

Online Gallery. The Photographer shall make purchased digital files available through an online gallery within seven (7) to ten (10) days of the session. Online galleries are for downloading the selections made in the studio and/or ordering prints, wall art, albums, and advanced retouching. An online gallery shall remain open for six (6) months from the delivery date. After the gallery closes, purchased files will no longer be available for download, and the Photographer is not obligated to keep copies or backups. It is the Client's responsibility to download and securely store any purchased digital files within this timeframe. The Photographer retains all unpurchased images, and their storage and deletion are at the Photographer's sole discretion.

Image Selection Standards. The number of soft proofs shown is at the Photographer's discretion. All efforts will be made to include as many images as possible. Only images that meet the following quality standards will be shown to the Client: the image is well-exposed and in proper focus, and the image is not a duplicate exposure of another image already shown. The Client understands and accepts that the soft proofs will be chosen based on these standards and the Photographer's discretion. Soft proofs are unedited; editing is completed after the Client's selections are made, as described under Edited Digital File and Retouching.

Same-Day Ordering. The Client acknowledges and agrees that all digital file selections shall be completed immediately following the photography session during a same-day, in-studio ordering appointment. The Photographer will present the soft proofs for viewing, and the Client shall select and purchase their Edited Digital Files at that time. Within seven (7) to ten (10) days after the ordering appointment, an online gallery will be provided containing the Edited Digital Files purchased by the Client. While the gallery is open, the Client may use it to download purchased files and to order additional prints, wall art, albums, and advanced retouching of purchased images.

Orders Are Final. Once the Client's selections and order are confirmed and payment is received, all chosen images will be professionally edited and prepared for delivery or production. Due to the custom nature of photography products, all orders are final and may not be altered, canceled, or refunded after the ordering appointment.

Retouching. Every Edited Digital File includes hand editing for color, crop, and exposure, followed by skin and hair smoothing and blemish removal. Advanced retouching, such as wrinkle reduction in clothing, background adjustments, and other adjustments beyond the included edits, is available on a case-by-case basis for $25 per image, through your gallery or while making selections in the studio. The Photographer will accept re-editing requests on a case-by-case basis and reserves the right to reject any editing request. An extra copy of any image with advanced retouching will be added to your online gallery for download.

Completion Schedule. Completion schedules and product delivery will be determined after the Client has approved the selected images and/or advanced retouching for printed products. Third-party manufacturing laboratories may be utilized for products and may restrict orders not outlined in this Agreement. The Client should place orders with sufficient time to allow for normal delays and notify the Photographer at the time of the order if there are any extenuating circumstances requiring a quicker turnaround. An expedite fee of 100% of the cost shall be applied to expedited product requests. The Photographer shall not be held responsible for delivery delays due to the fault of manufacturing and/or delivery services.

Copyright and Usage

Copyright and Reproductions. The Photographer shall own the copyright in all images created. If the Photographer desires to make other uses, the Photographer shall do so without first obtaining the Client's written permission. It is understood that any duplication or alteration of original images by the Client is strictly prohibited under the United States Copyright Act (17 U.S.C. §§ 106 and 501). Alterations include, but are not limited to, the application of filters, AI, or any other modifications of any kind. The Photographer DOES provide the Client permission to resize photographs for Internet-based usage.

The Client understands that any files, whether raw or edited, including videos created for self-promotion, are the property of the Photographer. Only soft proofs the Photographer selects will be shown to the Client for review and selection. The Client must purchase Edited Digital Files beyond those included in their session fee if they wish to receive additional images. Video is provided only as a bonus at the Photographer's sole discretion.

Client Usage. The Client shall only use photographic prints, including digital files, in accordance with the permissions in this Agreement. The Client's prints are for personal use only and shall not be submitted to contests or reproduced for commercial use. Headshot clients may also use their purchased headshots for professional self-promotion, such as professional profiles, business websites, business cards, and speaker or author bios, but may not sell or license the images to others. Further, the Client shall not authorize reproductions by non-purchasers covered within this Agreement. Accordingly, if the Photographer provides a digital file print release, the Client must act in accordance with the release.

Social Media. The Client may share purchased digital files on a website, blog, and social media profiles. The Client shall not copy, download, screenshot, or capture unpurchased photographs in any other fashion. The Client shall identify "COPYRIGHT IJ Photo" in the caption of all photographs uploaded to social media websites and profiles. When uploading to a social media profile, the Client shall tag the Photographer's business page in the uploaded post or album.

Client Conduct. The Client will not engage in photography or videography during the course of the photographic session. Engaging in this behavior entitles the Photographer to end the session without a refund or reschedule. Taking screenshots or photos of unpurchased images is a copyright infringement and is punishable by law.

General Terms

Failure to Perform. If the Photographer cannot perform this Agreement due to illness, emergency, fire, casualty, strike, act of God, or causes beyond the control of the Photographer, the Photographer and Client shall make every attempt to reschedule the session within one (1) year from the original booking date. If a reschedule cannot be agreed upon, the Photographer shall return all payments made for that session to the Client without further liability. Further, if the Photographer cannot deliver photographic materials due to technological malfunctions, including but not limited to camera and processing, or otherwise lost or damaged without fault of the Photographer, liability shall be limited to returning all payments made for that session.

Substitute Photographer. The Photographer reserves the right to substitute with another photographer. The substitute photographer is chosen at the discretion of the Photographer and does not constitute a breach of this Agreement. The Photographer warrants the substitute photographer to be of comparable quality and professionalism. No refunds will be given if a substitute photographer is provided.

Photographer's Standard Price List. The charges in this Agreement are based on the Photographer's Standard Price List. This price list is updated periodically, and future orders will be charged at the prices in effect at the time of placement.

Travel Fees. The Client shall pay $1.50 per mile to shoot on locations over 50 miles from 2815 Baker Ave, Everett, WA 98201.

Arbitration. Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by arbitration, administered under the Commercial Arbitration Rules of the American Arbitration Association by a licensed arbitrator in the jurisdiction closest to the Photographer's office, and the arbitration award may be entered for judgment in any court having jurisdiction thereof. Notwithstanding the foregoing, either party may refuse to arbitrate when the dispute is for less than $400. In no event shall an award in an arbitration initiated under this clause exceed the contracted price of the controversy in dispute.

Indemnification. The Client agrees to indemnify and hold harmless the Photographer, the Photographer's agents, employees, and representatives from any claims, damages, or liability arising from or related to injuries that may occur during the photography session or any immediately surrounding events, whether on studio premises, at a client's home, or on location, INCLUDING CLAIMS ARISING FROM THE ORDINARY NEGLIGENCE OF THE PHOTOGRAPHER, but not claims arising from the Photographer's gross negligence or willful misconduct. This includes, but is not limited to, injuries sustained by the Client, their family members, children, guests, or pets, as well as any damage to personal property. The Client assumes full responsibility for the safety and supervision of all individuals they bring to the session.

Miscellany. This Agreement incorporates the parties' entire understanding. Any modifications to this Agreement must be made in writing and signed by both parties. The laws of the State of Washington shall govern this Agreement.

Waivers. A waiver of any part of this Agreement, or any failure to enforce a term, will not be considered a waiver of any other term or any future breaches. Each provision of this Agreement remains enforceable, even if another is waived.

Attorney's Fees. If any party to this Agreement brings a legal action against the other party to secure the specific performance of this Agreement, collect damages for breach of this Agreement, or otherwise enforce or interpret this Agreement, the prevailing party shall recover reasonable attorney's fees and all costs, premiums for bonds, fees, and other expenses expended or incurred in the action and any other relief that may be awarded.

Construction. Any rule of construction to the effect that ambiguities are to be resolved against the drafting party shall not apply in interpreting this Agreement. The language in this Agreement shall be construed as to its fair meaning and not strictly for or against any party.

Model Releases and AI

Model Release. By signing this Agreement, I give the Photographer (including but not limited to any agency, client, or publication) irrevocable permission to use and publish photographs and video of me, including my name and likeness, in any manner, including online galleries, blog posts, social media, advertising, and promotional materials, without compensation. I release and hold harmless the Photographer and her legal representatives and assigns from any claims arising from that use, including claims for invasion of privacy, right of publicity, misappropriation of likeness, or defamation. I affirm that I am 18 years of age or older and competent to sign this release, and that any minors photographed are covered by the Minor Model Release below.

Other Participants. The Client confirms that every individual who participates in the session (including partners, children, family members, or friends) has given permission to be photographed and for those images to be used as described in this release, and that the Client has the authority to grant that permission on their behalf. The Client agrees to indemnify and hold harmless the Photographer from any claim made by a participant, or by a parent or guardian of a participant, that their image or likeness was used without permission, unless a Model Release Waiver was requested in writing before the session.

Minor Model Release. I am the parent or legal guardian of the minor(s) who will participate in the photo shoot and have the legal authority to execute this release on his/her/their behalf. I have read and fully understood the contents of this release and consent to the use of said photographs and video, including the minor's likeness, based on the contents of this release. These images and videos may be published in any manner, including online galleries, blog posts, social media, advertising, and promotional materials. I release and hold harmless the Photographer and her legal representatives and assigns from any claims arising from that use, made by me or on behalf of the minor, including claims for invasion of privacy, right of publicity, or misappropriation of likeness. If I am not the only parent or guardian, I confirm that I have the consent of any other parent or guardian with legal authority over the minor.

Model Release Waiver. If the Client prefers that their images or the images of their minor child and/or video not be shared publicly, they may request a Model Release Waiver in writing prior to the session. Once received and acknowledged by the Photographer, the Model Release Waiver acts in place of the Model Release, Other Participants, and Minor Model Release sections of this Agreement, and the Photographer will not publish the Client's images or video. The waiver must be received and acknowledged by the Photographer before any images are published. No penalty, discount, or refund will be applied for opting out of image sharing.

AI-Generated Content. The Photographer may utilize artificial intelligence (AI), including generative AI, as part of their editing process for alteration of setting, lighting, object removal, retouching, or other image alterations at the Photographer's discretion. The Photographer will conduct such edits in accordance with the style, feel, and common practices displayed by the Photographer's portfolio. This Agreement serves as the Photographer's disclosure of AI use, and no separate disclosure will be provided upon delivery of images. The Photographer will retain creative control of photograph processing and may, at their sole discretion, refuse editing requests from the Client in accordance with the Photographer's professional standards.

Any photographs that were created in part using AI and delivered to the Client represent original works of authorship under Title 17 Section 102 of the United States Code and will be subject to all other intellectual property clauses within this Agreement.
